While NZSA views are well argued, the Company performs well and the generous payout warrants the acknowledgement that the Gibson family is transparent in their control of the company. The NZSA values the independence of directors, most so-called independents are in practice beholden to majority shareholders or power structures within the board. Take for example Millenium. here the independent directors, in my opinion, only operate to accommodate the controlling shareholder. No dividend policy no profit forecast.
